Terms of Service

1. Access and Use of Service
Infrastack AI, Inc. ("Codewolf", "we", "us", or "our") grants you a limited, non-exclusive, non-transferable right to access and use our AI agent platform and related services (the "Service") for operating and managing your production infrastructure in Slack.
CODEWOLF WILL NOT USE YOUR DATA, CODE, LOGS, OR ANY CONTENT YOU PROVIDE TO TRAIN AI MODELS, OR ALLOW ANY THIRD PARTY TO TRAIN ANY AI MODELS, UNLESS YOU'VE EXPLICITLY AGREED IN WRITING.
You may not:
- Reverse engineer, decompile, or attempt to extract the source code of our Service
- Use the Service to develop competing AI agent platforms
- Share, resell, or redistribute access to the Service without our written authorization
- Submit data protected under HIPAA, PCI-DSS, GLBA, or similar regulatory frameworks without proper data processing agreements in place
- Use the Service for illegal purposes or to violate any applicable laws or regulations
- Attempt to gain unauthorized access to our systems or other users' accounts
2. Eligibility and Account Registration
You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. By creating an account, you represent and warrant that all information you provide is accurate, current, and complete.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized access or use of your account.
3. Payment Terms
Subscription fees are billed monthly or annually in advance. Usage-based charges for Agent Unit Credits (ACUs) are billed monthly in arrears based on actual consumption.
All fees are non-refundable except where required by applicable law. Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date.
We reserve the right to modify pricing with 30 days advance written notice. Payment processing is handled by Stripe. Accounts with payment failures or delinquent balances may be suspended or terminated.
4. Ownership and Intellectual Property
You retain all ownership rights to your data, code, infrastructure configurations, logs, and any other content you provide or that our agents access on your behalf ("Your Content"). Codewolf retains all rights, title, and interest in the Service, including our AI agents, platform technology, and proprietary algorithms.
By using the Service, you grant us a limited license to access and process Your Content solely to provide the Service to you. This includes accessing your Slack workspace, integrated tools (GitHub, Datadog, etc.), and infrastructure systems with the read-only permissions you grant us.
We may collect and use aggregated, de-identified usage data and metadata to improve the Service, provided such data cannot be used to identify you or your organization.
5. Data Security and Isolation
Codewolf is SOC 2 Type II certified. We implement industry-standard security measures including:
- AES-256 encryption for data in transit and at rest
- Isolated agent workspaces - your agents run in dedicated sandboxes that never share resources with other customers
- Read-only access to your integrations by default
- Full audit logging of all agent actions
- Role-based access control (RBAC)
Your data is never combined with other customers' data. Each customer's agent workspaces are completely isolated.
6. Warranties and Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, error-free, or that any defects will be corrected. You acknowledge that AI-generated outputs may contain errors and should be reviewed before taking action based on them.
Limitation of Liability:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO CODEWOLF IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).
IN NO EVENT SHALL CODEWOLF BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
7. Dispute Resolution and Arbitration
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except where prohibited by law.
Class Action Waiver: You agree that disputes will be resolved individually and waive any right to participate in class action lawsuits or class-wide arbitration.
Opt-Out: You may opt out of this arbitration agreement by sending written notice to hello@codewolf.ai within thirty (30) days of account creation.
Before initiating arbitration, you must provide written notice describing the dispute and allow sixty (60) days for resolution attempts. Arbitration hearings will be held in San Francisco, California, or another mutually agreed location.
8. Termination
You may terminate your account at any time by contacting our support team. We may suspend or terminate your access immediately for violations of these Terms, illegal activity, or for any reason with reasonable advance notice in non-urgent situations.
Upon termination, your right to access the Service immediately ceases. We will provide a reasonable transition period (typically 30 days) for you to export Your Content before it is deleted from our systems.
Pro-rata refunds may be available for prepaid subscription fees if termination is not due to your breach of these Terms.
9. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.
10. Changes to Terms
We may modify these Terms from time to time. We will notify you of material changes via email to your registered account address or through a prominent notice in the Service. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.
If you do not agree to the modified Terms, your sole remedy is to stop using the Service and terminate your account.
11. Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Codewolf regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
